Terms and Conditions of Use

A product of ZIPH Crest Axis Limited. Last updated 13 October 2026.

1. About Bartermart

Bartermart is a product of ZIPH Crest Axis Limited ("ZIPH", "we", "us" or "our").

Bartermart provides a platform that enables users to list items, discover available items and exchange goods with other users using the platform's swap and credit system.

By creating an account or using Bartermart, you agree to these Terms and Conditions. If you do not agree, you should not use the platform.

2. Our Role

Bartermart provides a platform for users to find one another and arrange exchanges. We are not the owner, seller, manufacturer, inspector, guarantor or insurer of items listed by users.

Unless expressly stated otherwise, BARTERMART does not take possession of, inspect, store, transport or deliver items being exchanged.

Users enter into exchanges with one another at their own discretion. BARTERMART does not guarantee that another user will behave honestly, complete a swap, or provide an item that meets your expectations.

3. User Responsibility for Items

Every user is responsible for checking an item carefully before agreeing to a swap and before handing over their own item.

Before completing a swap, you should: • Inspect the actual item in person. • Check its condition, quality, size, specifications and general appearance. • Test it where reasonably possible and appropriate. • Confirm that it matches the listing and any description provided. • Check for damage, missing parts, defects, expiry dates or other relevant issues. • Ask any questions necessary to make an informed decision.

Do not complete a swap simply because an item looks good in its listing. Inspect the actual item before exchanging anything.

Once a user voluntarily completes a swap, that user is responsible for their decision to accept the item. Bartermart is not responsible for differences between an item's description and its actual condition, undisclosed defects, counterfeit items, missing parts or an item's suitability for a particular purpose.

This does not prevent users from reporting fraud, prohibited conduct or other violations of these Terms.

4. Accurate Listings and Prohibition of AI-Generated Images

All images used to list items on Bartermart must be genuine photographs of the actual items being offered for swap.

AI-generated images, AI-created product images and artificially generated representations of items are prohibited. Users must not use artificial images, manipulated pictures or misleading edits to make an item appear better, newer, different or more valuable than it actually is.

Users must also not use stock photographs, pictures copied from other listings or images of items they do not actually possess, where doing so could mislead another user.

Bartermart reserves the right to remove any listing containing prohibited images and to suspend or permanently block the account responsible. These actions may be taken even if the account has an unused credit balance.

The same action may be taken where we reasonably believe an account is being used to deceive, impersonate or mislead other users.

However, the prohibition on misleading images does not replace the user's responsibility to inspect the actual item before completing a swap.

5. Swap Directions and Point Swaps

Bartermart may provide swap directions, instructions, point values or other information to help users understand how a proposed exchange should be completed.

Users must follow the applicable swap directions displayed on the platform.

Before confirming or completing a swap, each user is responsible for checking the proposed exchange, the items involved, the stated point values, the applicable instructions and any other relevant details.

Do not proceed if the proposed exchange differs from what you agreed to, if the instructions are unclear, or if you suspect that another user is attempting to deceive you.

BARTERMART does not guarantee that an item's stated or assigned point value reflects its market price, resale value, quality or actual worth. Point values are used within Bartermart's system and should not be treated as an independent valuation of an item.

Users are responsible for deciding whether a proposed exchange is acceptable to them.

6. Designated Swap Locations

All physical swaps arranged through Bartermart must take place at designated locations on the relevant university campus.

Approved locations include: • The main campus gate, on the inside of the school premises, not outside the school. • The Student Union Building. • A designated bus stop located inside the campus.

Where Bartermart identifies or communicates other approved campus locations, users must follow those instructions.

Users must not arrange swaps at private residences, isolated areas, off-campus locations or other unapproved places through the platform.

Users should meet only at an agreed, designated location and should not follow another user to an unfamiliar or isolated place to complete a swap.

7. Personal Safety During Swaps

For personal safety and proper inspection of items, users are strongly advised to complete swaps during daylight hours and at designated campus locations where other people are present.

Users should avoid night-time swaps, secluded areas and situations that make it difficult to inspect an item or seek assistance.

Where possible, users should inform a trusted person of their meeting arrangements and may choose to have another person accompany them.

Every user is responsible for their own personal safety, belongings, decisions and conduct during a swap.

BARTERMART does not provide security personnel, escorts, emergency response services or physical supervision of swaps. BARTERMART is not responsible for theft, robbery, assault, harassment, threats, injury, loss of property or other security incidents arising from or connected with an exchange, to the extent permitted by applicable law.

Users should not proceed with a swap if they feel unsafe. They should leave the location and contact the appropriate campus security personnel or emergency services where necessary.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

8. Credits and Credit Balances

Bartermart credits are internal platform units used for activities permitted within Bartermart. They are not cash, a bank deposit or a promise that BARTERMART will pay a user money.

Credits: • Cannot be exchanged for cash or withdrawn as money. • Cannot be refunded or redeemed for cash. • Cannot be treated as a bank balance, investment or financial asset. • Must only be used for purposes permitted by Bartermart. • Have no guaranteed monetary value outside the platform.

All credits are non-refundable. This applies to unused credits, remaining balances and credits associated with accounts that users choose to stop using.

Users should carefully review the applicable swap instructions before using their credits. BARTERMART is not required to refund credits because a user changes their mind, dislikes an item after accepting it, fails to complete an exchange for reasons attributable to them, or no longer wishes to use Bartermart.

Where an account is suspended, restricted or terminated for violating these Terms, its credit balance does not prevent BARTERMART from taking that action. Any treatment of remaining credits will be subject to these Terms and applicable law.

Nothing in this section removes any refund or other right that applicable law requires BARTERMART to honour.

9. No Cash Swaps or Off-Platform Monetary Deals

Bartermart is designed for swaps, not cash transactions.

Users must not request, offer, negotiate or complete cash payments, cash top-ups, monetary compensation or other money-based arrangements as part of a swap initiated through Bartermart.

Users must not use the platform to disguise a sale as a swap or to arrange monetary transactions that fall outside Bartermart's approved operating model.

Any monetary arrangement between users is outside the scope of Bartermart's services. BARTERMART does not facilitate, collect, hold, transfer, guarantee or settle such payments.

BARTERMART is not responsible for money lost through unauthorised payment arrangements between users.

Users who attempt to conduct prohibited cash transactions may have their listings removed, accounts suspended or accounts permanently blocked.

This restriction does not prevent BARTERMART from charging its own disclosed platform fees, where applicable, or from making adjustments required by law.

10. Ownership and Right to Exchange Items

Users must only list items they own or are legally authorised to exchange.

You must not list or offer stolen property, counterfeit goods, items obtained unlawfully, property belonging to another person without permission, or items that you are not entitled to exchange.

Users are responsible for ensuring that their items are lawful to possess and exchange and comply with applicable laws and university rules.

BARTERMART does not verify ownership of every listed item and does not guarantee that a user has the legal right to offer an item.

11. Prohibited Items and Activities

Users must not list, exchange or attempt to exchange: • Illegal goods or stolen property. • Counterfeit goods or items that infringe another person's rights. • Weapons, dangerous materials or other prohibited items. • Prescription medicines, controlled substances or other restricted goods where the exchange is unlawful. • Expired, contaminated or unsafe products where their exchange is prohibited or presents an unacceptable risk. • Items prohibited by Bartermart or the relevant university. • Any item whose listing or exchange violates applicable law.

Users must not use Bartermart for fraud, scams, threats, harassment, discrimination, impersonation, money laundering or any other unlawful or abusive activity.

BARTERMART may remove a listing or restrict an account where we reasonably believe these rules have been violated.

12. Account Accuracy and Responsibility

Users must provide accurate information when registering and must not impersonate another person or create an account using another person's identity without authorisation.

You are responsible for maintaining the confidentiality of your login details and for activity carried out through your account, except where applicable law provides otherwise.

You must notify BARTERMART promptly if you believe your account has been accessed without permission.

Users must not share, sell, rent or transfer accounts without BARTERMART's permission.

BARTERMART may request information reasonably necessary to verify an account, investigate suspected abuse or protect users and the platform.

13. User Conduct and Communication

Users must communicate honestly, respectfully and responsibly.

You must not threaten, intimidate, harass, blackmail or deceive another user. You must not pressure anyone into a swap, demand additional items or credits after an agreement has been made, or use personal information obtained through Bartermart to harass or exploit another person.

Users must not use Bartermart to advertise unrelated businesses, send spam, distribute malicious links or manipulate the platform's credit or swap systems.

Any agreement between users must be made voluntarily. A user may decline or discontinue a proposed swap before completion.

14. Cancellations, Disputes and Failed Swaps

Users should confirm the details of a proposed swap before committing to it.

If a user fails to attend an agreed meeting, presents a materially different item, refuses to follow the agreed swap directions or behaves dishonestly, the affected user may report the incident to BARTERMART.

BARTERMART may review reports, request relevant information, remove listings, restrict accounts or take other reasonable action under these Terms.

BARTERMART does not guarantee that every disagreement will be resolved, that an item will be recovered, or that a user will be compensated for a failed exchange.

Users should not use threats, force or harassment to recover an item or settle a dispute.

Any dispute concerning ownership, recovery of property, personal injury or suspected crime may need to be referred to the appropriate authorities.

15. Reporting and Platform Enforcement

Users may report suspicious listings, misleading images, unsafe conduct, prohibited items, suspected fraud or violations of these Terms through the reporting channels provided by Bartermart.

BARTERMART may investigate reports and take action where it considers this reasonably necessary to protect users, maintain the platform or comply with the law.

Such action may include: • Removing or hiding a listing. • Restricting an account or particular platform features. • Suspending an account temporarily. • Permanently blocking an account. • Cancelling or restricting a proposed swap where technically possible. • Preserving relevant records and cooperating with lawful requests from appropriate authorities.

BARTERMART may take action before completing an investigation where reasonably necessary to address an urgent safety concern, suspected fraud or ongoing abuse.

A user's credit balance, account history or status as an active user does not exempt them from enforcement.

16. No Guarantee of Platform Availability

BARTERMART will make reasonable efforts to keep Bartermart available and functioning but does not guarantee uninterrupted access, error-free operation or permanent availability of every feature.

The platform may be temporarily unavailable because of maintenance, technical problems, security concerns, upgrades, network failures or circumstances beyond our reasonable control.

BARTERMART may change, suspend or discontinue a feature where reasonably necessary. Where appropriate, we will endeavour to communicate significant changes to users.

17. Limitation of Responsibility

To the fullest extent permitted by applicable law, BARTERMART is not responsible for losses, disputes, damages or claims arising from: • The quality, safety, authenticity, legality, ownership or condition of items listed by users. • A user's failure to inspect an item before completing a swap. • False, incomplete or misleading information supplied by another user. • A user failing to attend, complete or honour an agreed swap. • Theft, assault, threats, injury or other security incidents connected with user-arranged meetings. • Unauthorised cash dealings or other prohibited monetary arrangements between users. • Loss or damage to items during exchanges between users. • Misuse of the platform, account compromise caused by a user's failure to protect their credentials, or conduct by other users. • Temporary platform interruptions, technical failures or circumstances beyond BARTERMART's reasonable control.

Bartermart is a platform for arranging exchanges between users. It is not a guarantee that every user, listing or exchange will be safe, honest, successful or satisfactory.

Nothing in these Terms excludes or limits any liability, duty or legal right that cannot lawfully be excluded or limited.

18. Indemnity for User Misconduct

To the extent permitted by applicable law, a user may be responsible for losses, reasonable costs or claims suffered by BARTERMART that directly result from the user's unlawful conduct, fraud, deliberate deception, infringement of another person's rights or material breach of these Terms.

This section does not make a user responsible for losses caused by BARTERMART's own conduct where applicable law does not permit that responsibility to be transferred.

19. Privacy and Personal Information

Users must provide only information that is necessary and appropriate for their use of Bartermart. They must not collect, publish, misuse or share another user's personal information without a lawful basis.

BARTERMART will handle personal information in accordance with its applicable privacy practices and relevant data protection laws.

Users should avoid publishing private information, passwords, financial details or sensitive personal information in listings or public communications.

20. Intellectual Property

Bartermart's name, branding, design, software and other platform materials belong to BARTERMART or the relevant rights holders, unless otherwise stated.

Users must not copy, reproduce, distribute, reverse-engineer or misuse Bartermart's intellectual property except where permitted by law or authorised by BARTERMART.

Users remain responsible for ensuring that photographs, descriptions and other materials they upload do not unlawfully infringe another person's rights.

21. Changes to These Terms

BARTERMART may update these Terms where necessary to reflect changes to Bartermart, improve user protection, address misuse, meet operational requirements or comply with applicable law.

Updated Terms will be made available through the platform or another appropriate channel. Where required by law, BARTERMART will obtain any necessary consent before applying material changes.

Continued use of Bartermart after updated Terms take effect constitutes acceptance only to the extent recognised by applicable law.

22. Suspension and Termination

Users may stop using Bartermart at any time.

BARTERMART may suspend or terminate access where a user violates these Terms, engages in suspected fraud or prohibited conduct, creates a safety risk, misuses the credit system, provides misleading listings or uses the platform unlawfully.

Where reasonably necessary, BARTERMART may take immediate action to protect users, investigate suspected abuse or prevent further harm.

Closing an account does not automatically create a right to a refund of credits, cash compensation or reimbursement for swaps arranged between users, subject to any rights that cannot lawfully be excluded.

23. Applicable Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria.

Where a dispute cannot be resolved informally, it may be referred to a court with appropriate jurisdiction in Nigeria.

Nothing in these Terms prevents a user from exercising a right or pursuing a remedy available under applicable law.

24. Contact

Questions, complaints or reports relating to Bartermart or these Terms may be directed to ZIPH Crest Axis Limited through the official contact details provided within the app or on the company's official website.

25. Acceptance

By registering for or using Bartermart, you confirm that you have read and agree to these Terms and Conditions.

You also acknowledge that swaps involve dealing directly with other users, that you are responsible for inspecting items before exchanging them, and that you must follow the platform's swap directions and safety rules.

Bartermart is a platform for swaps. Inspect carefully, meet safely, follow the rules and never assume that a listing or another user's promise is a guarantee.
